The long-awaited promulgation of the Civil Code on 28 May 2020 is a historical milestone in the legal system of the People’s Republic of China (PRC). With 1,260 articles across 84 chapters and seven parts, the Civil Code is the first systematic compilation of various laws and regulations governing general principles and rules of civil law, property, contracts, personality rights, marriage and family, and inheritance. This book addresses the main aspects of a contract from its formation to remedies for breach. It points out the important differences between the contract provisions in the Civil Code and the 1999 Contract Law and discusses some of the ongoing academic and policy debates regarding these differences. Moreover, the book analyses a range of related judicial interpretations, guiding opinions, guiding cases, and model or typical cases to illustrate how Chinese courts have sought to resolve a range of contractual disputes in practice.
Dr Mimi Zou is Associate Professor (Reader) in Law at the University of Reading and co-founder of the Oxford Deep Tech Dispute Resolution Lab. Prior to her current post, Dr Zou held the first academic appointment in Chinese law at the University of Oxford. She has been Edwards Fellow at Columbia Law School, Assistant Professor at the Chinese
University of Hong Kong, and Senior Researcher at Utrecht University. She has also been a visiting scholar at Tsinghua, Renmin, Peking, CUPL, SWUPL and other leading Chinese law schools. Dr Zou obtained her DPhil in Law and Bachelor of Civil Law (Distinction) degrees from St John’s College and Christ Church, University of Oxford. She has been called to the Bar of England and Wales and qualified as a lawyer in New South Wales (Australia). For over 17 years, Dr Zou has worked in academia, global law firms, international organizations, civil service, and financial institutions in Asia-Pacific and Europe. Her award-winning research has appeared in top academic and professional journals and featured in a range of international media outlets
