This deskbook is the comprehensive yet portable collection of up-to-date Golden State statutes, regulations, and forms business law attorneys need to conduct research more effectively, complete transactions more efficiently, and advise clients with confidence.
Easily access important business entity statutes you need
You'll find all the statutes that you need to incorporate or transact business in California, including the full Corporations Code along with a curated selection of related sections from other Codes, all current through the 2022 Legislative Session. More than 200 sections in the book were added or amended this year—don't miss new procedures allowing judicial ratification of noncompliant corporate actions, continued authorization of remote shareholder meetings, changes to laws regarding conversion, and new restrictions on franchise agreements.
Find the latest statutory changes
Use the Table of Sections Affected to find 2022 legislative changes quickly. Legislative Summaries analyze the effect of new sections and changes in the law for practitioners, while Blackline Amendment Notes following each amended section illustrate the exact language added and deleted in the text by the Legislature.
Gain insight from new case law
The Table of New Annotations and change bars highlight more than three dozen new case notes added since the last edition. In addition, to aid in current awareness, we have included five full-text cases discussing the latest legal developments regarding alter ego doctrine, inspection of documents, derivative suits, buy-out proceedings and dissolution of an LLC.

Readers can directly access over 190 ready-to-fill forms for incorporation/formation, qualification, mergers, dissolution, name reservation and other tasks for all entity types via our LexisNexis Store Download Center.
