Director and Officer Liability in Corporate Insolvency: A Comprehensive Guide to Rights & Obligations, 3rd Edition

Janis Sarra, B.A., M.A., LL.B., LL.M., S.J.D., is a Professor of Law, at the UBC Allard School of Law and was recently appointed UBC Presidential Distinguished Professor. Prior to this appointment, Dr. Sarra served as Director of the Peter Wall Institute for Advanced Studies at UBC and was the founding Director of the National Centre for Business Law. She served as Associate Dean of the Allard School of Law until 2007 and also served as Senator of UBC from 2003 to 2008. She was previously a Director of the Canadian Insolvency Foundation and Director of the Canadian Insolvency and Restructuring Professionals Association. She holds five degrees from the University of Toronto in Political Science, Economics and Law. She previously taught at the University of Toronto Faculty of Law and the Ryerson University School of Business. Dr. Sarra's research and teaching interests are in the areas of corporate finance, banking law, corporate governance, securities law, contracts, commercial insolvency law, and economics. In 2004, she was awarded the title of Distinguished University Scholar for her scholarship in corporate and securities law. She has published ten books and more than one hundred reference articles in corporate finance, corporate governance and management, securities law and commercial insolvency law.

Ronald B. Davis, LL.B., S.J.D., is an Associate Professor Emeritus at the UBC Allard School of Law, where he lectured and writes on the topic of pension law, corporate law, trust law, law and economics, law and society, and insolvency law. Dr. Davis was called to the Bar of Ontario in 1992, thereafter joining the pension law practice of Koskie Minsky in Toronto. Prior to joining the UBC Law Faculty in 2003, he taught Occupational Health and Safety and Worker's Compensation Law at the University of Toronto's Law Faculty, as well as Pension and Benefits Law at the Faculty of Law, University of Western Ontario. He has lectured to the Osgoode Hall Law School LL.M. Specialization in Securities Law Program, as well as to the Investment Management School (sponsored by the Schulich School of Business, York University and Mercers Consulting) and taught at the Civil Law Symposium of the National Judicial Institute. In 2009, he taught the Labour and Pension Law in Restructuring the Insolvent Corporation course in the Osgoode Hall Law School LL.M. Specializing in Labour and Employment Law Program. Since joining the UBC Law Faculty, he has received the UBC Law Class of '68 Research Award and a University of British Columbia Teaching Development Scholarship.
