Because of its business-friendly laws, companies nationwide are choosing to incorporate in Nevada—it is now the state with the highest number of new incorporations each year. The Nevada General Assembly concluded the 82nd legislative session in June 2023, effecting more than three dozen statutory changes in the Business Associations title and related titles. Notable changes included amendments regarding:
- Amending a corporate name in the articles of incorporation
- Confidentiality agreements for the inspection of corporate books
- Corrected filings
- Written notice of dissenters' rights
- Acquisition of shares listed on a national securities exchange
- Sale of securities
- Issuance of shares
Those changes are now pending review by the Legislative Counsel. Due to the extensive nature of the updates, this new book from CSC provides you the earliest opportunity to review these changes in order to stay on top of the latest corporate law, until our full 2024 edition of Nevada Laws Governing Business Entities Annotated is released capturing the final versions of the statutes as they will appear in the Nevada Revised Statutes.
Other features include a Table of Sections Affected identifying the statutes which have been amended or added by the 2023 session, and expert analysis of the changes provided by Nevada attorneys Ellen Schulhofer, Albert Kovacs, and Carmen Gilbert of Brownstein Hyatt Farber Schreck, LLP.
In addition, readers can access over 90 up-to-date Nevada forms for incorporation/formation, qualification, mergers, dissolution, and name reservation for all entity types via our online download center.
The ISBN for the 2022 Edition CSC Nevada Laws Governing Business Entities Annotated was 9781663333995.
