The goal of this book is to provide the practitioner with a ready resource when faced with potential shareholder litigation or when considering legal remedies on behalf of a shareholder of a Washington corporation. Although numerous authorities exist discussing these issues under federal law or the laws of other states, we have found no such resource under Washington law.
This book, therefore, attempts to provide the practitioner with a comprehensive description of the state of Washington law related to those issues that are most commonly raised in shareholder litigation. This includes: shareholder suits for securities fraud under the Washington State Securities Act, duties of officers and directors of Washington corporations, shareholder derivative suits, indemnification and insurance for directors and officers of Washington corporations, merger-related litigation, and other, less common actions that may be raised by shareholders.
In order to ensure that this book would present a non-biased and fair description of the law, prominent members of both the plaintiffs’ and defendants’ securities bar in Washington were solicited to join our 10-member editorial board. In addition to the editor-in-chief, the editorial board consists of five members of the securities defense bar and five members whose practice has traditionally been on the plaintiffs’ side of securities litigation. Editors from both the plaintiffs’ and defendants’ bar were assigned to have primary responsibility over editing each of the chapters of this book (except for Chapter 4 regarding insurance and indemnification).
