Structuring and Drafting Commercial Loan Agreements

Sandra Stern (Nordquist & Stern PLLC, New York City) is one of the leading experts on commercial law, representing both borrowers and lenders in secured transactions and letter of credit issues. Ms. Stern is a New York State representative to the Uniform Law Commission. In that capacity, she has served on the drafting committees to revise UCC Article 9 (Secured Transactions), Article 5 (Letters of Credit), and Article 7 (Documents of Title). Prior to her current practice, Ms. Stern served as Senior Vice President and General Counsel of Banco Santander from 1993 through 1995 after leaving Republic National Bank of New York, where she was Deputy General Counsel. She is a fellow at the American College of Commercial Finance Lawyers, and a former Chair of the Business Law Section of the New York State Bar Association. She is a graduate of Goucher College and Harvard Law School.
