2024 Pennsylvania Laws Governing Business Entities Annotated captures latest legislative changes and court decisions

The 2024 edition of CSC’s Pennsylvania Laws Governing Business Entities Annotated is now available. This latest edition provides practitioners and their staff with the full text of Title 15—Corporations & Unincorporated Associations from the Pennsylvania Statutes, as well as related sections covering securities, taxation, arbitration, and fictitious names, and Articles 1, 8 and 9 of the Uniform Commercial Code. All content is current through the 2023 session of the General Assembly.

The 2024 edition also captures more than twenty new case notes from state and federal court decisions interpreting Pennsylvania business law, as well as five full-text cases from the past year highlighting recent legal developments concerning corporate veil piercing, inspection of corporate records, nonprofit corporations, arbitration, and corporate taxation. New cases are listed in the book’s Table of New Annotations and are highlighted with gray bars in the body of the book for easy identification.
Readers can access 100 Pennsylvania forms for incorporation/formation, qualification, mergers, dissolution, and name reservation for all entity types via the LexisNexis Store download center. A list of forms and contact information for the Pennsylvania Corporations Bureau can be found in the Appendix. An up-to-date Fee Schedule lists the Secretary of State’s required filing fees for business services.
