Florida Lawmakers Revise Provisions for LLCs Planning
to Issue Securities

Florida’s General Assembly added or amended more than 50 sections of the state’s business entity laws, including new procedures for ratifications of defective corporate actions and resignation of registered agents, as well as new exemptions under the securities law. The changes are captured in the 2024 Edition of CSC’s Florida Laws Governing Business Entities Annotated.
Changes to the law are listed in the book's Table of Sections Affected, and a legislative summary provides an overview of statutory additions and amendments.
The 2024 edition also includes more than 40 new case notes summarizing recent judicial interpretations of the law from Florida state and federal courts, as well as five new full-text cases exploring recent legal developments regarding derivative actions, piercing the corporate veil, indemnification, corporate taxation, and arbitration.
A Table of New Annotations lists all new case notes, and new annotations are marked with a gray bar in the body of the book for quick identification.
