The Model Business Corporation Act is a free-standing general corporation statute, including black-letter law, official comment and cross-references, that can be enacted substantially in its entirety by a state legislature. The Model Act was created to serve as a comprehensive and easily adoptable legal framework for corporate entities. It has made major contributions to U.S. corporate law, influenced many provisions in the general corporation statutes of other sates, and been cited by courts, lawyers, and scholars. As it marked its 75th anniversary in 2025, the Model Act has been enacted in whole or in part by 36 states and other jurisdictions, and is the source of many provisions in the general corporation statutes of other states.
Since it was first promulgated in 1950, the Model Act has undergone continuous review and revision by the ABA Business Law Section's Corporate Laws Committee. The Committee strives to write the Model Act clearly and concisely and to keep it current with corporate law developments. Through periodic amendments, the Model Act has evolved in significant ways over the years. It was last comprehensively revised in 2016. The Committee has continued to amend the Model Act in response to market trends and developments in the law since 2016. This paperbound volume of the Model Act includes the Official Text of all amendments to the Model Act through December 2025 and the Official Comment, as well as a descriptive foreword, and comprehensive index.
